Terms of Service Agreement

This Terms of Service Agreement ("Agreement") is a legally binding agreement between you ("Customer") and [Luxedrive Car Club Ltd] ("Business") regarding your use of the Business's services.

  1. Services

1.1. Description of Services : The Business will provide auto detailing services to the Customer, some of which may be on a subscription basis. The subscription service includes regular cleaning and maintenance of the Customer's vehicle(s).

1.2. Additional Tasks : In addition to auto detailing services, the Business may also perform small menial tasks for the Customer, including but not limited to topping up tyre pressure and wiper fluid, the complete list of services accessible via LuxeDrive.uk website, by agreement to this Terms of Service you are acknowledging that you have read what the Business’s service includes.

1.3. Frequency and Duration : The frequency and duration of the subscription service will be chosen by the Customer and will be outlined in the subscription agreement between the Customer and the Business.

1.4 Access To Electricity and Water Supply : The Customer acknowledges and agrees that in order to provide the services efficiently and effectively, Luxedrive Car Club Ltd may require access to the Customer's electricity and water supply, if the Customer is not able to provide this, then they must inform the Business.

  1. Liability

2.1. Exercise Of Reasonable Care : The Business will exercise reasonable care when providing its services to the Customer.

2.2. Limitation Of Liability : However, the Business will not be held liable for any damage or loss to the Customer's vehicle(s) or property resulting from the Business's services.

2.3. Pre-existing Damages : The Business will not be held liable for any pre-existing damage or wear and tear on the Customer's vehicle(s) or property.

2.4. Customers Responsibility : The Customer is responsible for informing the Business of any pre-existing damage or wear and tear on their vehicle(s) prior to the Business performing any services.

  1. Payment and Billing

3.1. Payment Terms : The Customer will be required to pay for the subscription services as outlined in the subscription agreement, for the following month, meaning the Business must receive payment before the service will be carried out.

Section 3.2 (Discounted First Month): "The first month of the subscription service will be offered at a discounted rate as outlined in the subscription agreement."

Section 3.3 (Commitment Period): "The Customer agrees to remain subscribed for a minimum commitment period as specified in the subscription agreement. If the Customer cancels the subscription before the end of this period, they will be required to pay the full price for the first month."

Section 3.4 (Billing Process): "Payment for the subscription services will be processed automatically on a recurring basis."

Section 3.5 (Insufficient Funds): "The Customer is responsible for ensuring that they have sufficient funds or credit available to cover the cost of the subscription services."

  1. Confidentiality

4.1. Definition of Confidential Information: The parties agree that any information, including but not limited to business strategies, customer data, and trade secrets, shared between them during the course of this Agreement shall be considered confidential.

4.2. Non-Disclosure: The parties agree to keep all confidential information strictly confidential and not disclose it to any third party without prior written consent, except as required by law.

4.3. Exceptions: The confidentiality obligations shall not apply to information that is already in the public domain or rightfully obtained by either party without breach of any confidentiality obligations.

4.4. Data Protection: Luxedrive Car Club Ltd will collect, process, and protect customer data in accordance with applicable data protection laws and regulations. By providing personal data to Luxedrive Car Club Ltd, the Customer consents to the collection, processing, and storage of their personal data as outlined in Luxedrive Car Club Ltd's Privacy Policy.

  1. Intellectual Property

5.1. Ownership: The Customer acknowledges that all intellectual property rights, including but not limited to trademarks, copyrights, and trade secrets, associated with the services provided by the Business, shall remain the exclusive property of the Business.

5.2. Use and Restrictions: The Customer agrees not to use, reproduce, modify, or distribute any intellectual property belonging to the Business without prior written consent.

  1. Force Majeure

6.1. Definition: Neither party shall be liable for any delay or failure to perform its obligations under this Agreement due to circumstances beyond its reasonable control, including but not limited to acts of God, war, terrorism, natural disasters, governmental actions, or power failures.

6.2. Notice: In the event of a force majeure event, the affected party shall provide prompt written notice to the other party, detailing the nature and expected duration of the event, and its impact on the performance of this Agreement.

  1. Termination of Services

7.1. Customer Termination : The Customer may terminate their subscription service at any time by providing written notice to the Business, one way in which this can be done is via email, any payments taken from the Customer after a declaration to terminate services, assuming no service has therefore been provided, will be refunded to the Customer.

7.2. Business Termination : The Business reserves the right to terminate the subscription service at any time for any reason, including but not limited to non-payment, violation of the terms of service agreement, or if the Customer is found to be abusing the services provided by the Business.

  1. Governing Law

8.1. Applicable Law : This Agreement shall be governed by and construed in accordance with the laws of [United Kingdom], without giving effect to any principles of conflicts of law.

  1. Entire Agreement

9.1. Entire Agreement : This Agreement constitutes the entire agreement between the Customer and the Business with respect to the subscription services provided by the Business.

9.2. Modifications To Agreement : Any modifications to this Agreement must be made in writing and signed by both parties.

By using the services of the Business, the Customer agrees to the terms and conditions outlined in this Agreement.

9.3. Customer’s Acceptance : Services will only be carried out once this agreement has been accepted by the customer, which will be before any payment is taken.
